Noeta is operated by 深圳市宇渡智能科技有限公司 (the "operator", "we", or "us"). By downloading or using Noeta ("the app"), you agree to these Terms.
- The service. A personal notebook that helps you record and make sense of your relationships, with AI-assisted insights, for personal, non-commercial use.
- Your account. Usable without an account. If you create one (Apple / phone), you are responsible for activity under it and for keeping it secure.
- Your content. You own your notes. Noeta stores them on your device, not in a Noeta content cloud. You grant us a limited license to transmit and process only the context needed when you invoke an AI feature. You must have the right to record what you record.
- Acceptable use. No unlawful use, infringement, or attempts to disrupt or reverse-engineer the service.
- AI content and labeling. AI outputs may be inaccurate; for reference only, not professional, legal, medical, or psychological advice. Noeta places an “AI-generated” label at the top of user-visible AI output containers. When AI text is copied, the app appends “AI-generated content, for reference only.” You must not maliciously remove, alter, forge, or conceal an AI-content label.
- Subscriptions and payment. Plans, benefits, billing periods, and availability are shown before purchase. iOS memberships are monthly auto-renewable subscriptions completed through Apple In-App Purchase at the price shown by Apple. You may turn off auto-renewal in Apple Subscriptions at any time; access continues until the current paid period ends. Android memberships use manual WeChat Pay purchases, last 30 days, and do not use recurring debit. Benefits begin only after server-side platform verification. Refunds and billing disputes follow applicable law and the payment platform's rules. A remotely displayed plan or payment page does not mean that payment is currently available.
- Plan changes and resource packs. Apple applies upgrades immediately, charges the new subscription, and handles any prorated refund for unused time on the old subscription; Apple downgrades apply on the next renewal date. On Android, a Plus-to-Pro upgrade charges the difference between the current Admin CNY plan prices, takes effect after verified payment, and starts a new 30-day period. An Android downgrade only saves the plan for the next manual purchase after expiry. Membership quotas refresh each period and do not roll over. One-time resource-pack balances do not expire. We may change plans or prices for future billing periods. Where required, we or the payment platform will notify you and obtain consent. Already-paid benefits are not reduced during their paid period except where required by law, refund, chargeback, abuse, or platform reversal.
- Intellectual property. The app (excluding your content) is owned by us or our licensors.
- Disclaimers. Provided "as is", without warranties.
- Limitation of liability. No liability for indirect/incidental/consequential damages, to the maximum extent permitted by law.
- Termination. You may stop anytime; we may suspend access for violations.
- Changes. We may update these Terms and will revise the effective date.
